Terms of Service

The rules for using drknyt.com, working with the studio, and entering DRKNYT product and Lab surfaces.

If you use our products on behalf of a company, these terms apply to that company. Some services may also have product-specific terms or statements of work - those govern where they conflict.

Scope & acceptance

  • These terms govern drknyt.com, DRKNYT Lab experiences, and related DRKNYT product surfaces, including betas and experiments.
  • By accessing or using these services, you agree to these terms and our Privacy Policy. If you are acting for a company or organization, you confirm that you have authority to bind it.
  • A product-specific agreement, accepted statement of work, or order form controls where it conflicts with these general terms.

Accounts, access, and security

  • Keep credentials and access tokens confidential. You are responsible for actions taken with your access.
  • We may refuse, suspend, or revoke access to protect the Lab, our infrastructure, or other users.
  • Experimental features may be gated, throttled, or changed without notice while we stabilize them.

Payments and billing

  • Studio services are scope-first: fit, deliverables, timing, ownership, price, and billing cadence are confirmed in writing before payment. Prices are in U.S. dollars unless the offer says otherwise.
  • Payments are processed through Stripe or invoicing. A checkout return page is not proof of payment; processor confirmation controls.
  • Refund, reservation, delivery, and cancellation terms are described in our Refund & Cancellation Policy and may be supplemented by the accepted statement of work or product terms.
  • You are responsible for taxes and fees that apply in your jurisdiction.

Subscriptions and beta access

  • When a recurring plan is offered, its price and renewal cadence are disclosed before purchase. You may cancel future renewals through the available billing controls or by contacting lab@drknyt.com.
  • Cancellation stops future charges. Access ordinarily continues through the paid billing period unless it is suspended for safety, abuse, legal risk, or a violation of these terms.
  • LabPass is currently an invitation-only beta. A request, account, or prior price display does not guarantee admission, product availability, or a public recurring offer.

Acceptable use

  • Do not break the law, abuse the service, reverse engineer proprietary code, or attempt to interfere with our infrastructure.
  • Do not upload content you do not have rights to share, and respect the privacy and IP rights of others.
  • Security research is appreciated, but probing or load-testing the platform requires written permission first.

Data handling

  • Our Privacy Policy explains what we collect and how we use it. By using the services, you consent to that data use.
  • If you send us third-party data, you represent that you have the right to do so and will comply with applicable laws.
  • We may use aggregated or de-identified data to improve reliability, safety, and product quality.

Intellectual property

  • DRKNYT retains ownership of its pre-existing software, primitives, models, methods, designs, branding, and reusable tools. Ownership or license terms for client deliverables are stated in the accepted statement of work.
  • You keep ownership of your content. You grant us a limited license to host, process, and display it as needed to operate the services.
  • Feedback or suggestions you provide may be used to improve the stack without obligation to you.

Changes, downtime, and discontinuation

  • We may add, change, or retire features or products. When feasible, we will give reasonable notice for material changes.
  • Services may experience downtime (especially experimental ones). We are not liable for losses caused by outages or maintenance windows.
  • For critical workloads, keep your own backups and redundancy in place.

Warranties and liability

  • Services are provided "as-is" without warranties of any kind, to the fullest extent permitted by law.
  • Our total liability for claims arising out of these terms is capped at the amounts you paid us in the three (3) months before the claim, except where law requires otherwise.
  • We are not liable for indirect, consequential, exemplary, or punitive damages.

Termination

  • You may stop using the services at any time. We may suspend or terminate access for breach, risk, or to protect the stack.
  • Upon termination, your right to use the services ends. We may delete associated data subject to legal and operational retention requirements.

Governing law and disputes

  • These terms are governed by the laws of Michigan, USA, without regard to conflict of law rules.
  • Venue for disputes is the state or federal courts located in Wayne County, Michigan. If you have an issue, contact us first so we can resolve it quickly.
